PEER BRIDGE END USER AGREEMENT

Last updated: October 22, 2026

THIS END USER AGREEMENT (the “Agreement”) governs access to and use of the “Peer Bridge” platform by the authorized user (“You” or “Your”). Peer Bridge is owned and made available to You by JTD COMPANY, LTD. (the “Company,” “Us,” “We,” or “Our”) as a result of Our agreement(s) with the organization that has engaged Us to make Peer Bridge available to You (such agreement, the “Upstream Contract,” and such party, Your “Organization”).

By clicking “I accept” in the window through which this Agreement is presented, or by accessing or using Peer Bridge, You agree to be bound by all of the terms and conditions of this Agreement. For convenience, the parties to this Agreement (i.e., You and the Company) may be referred to individually as a “Party” and collectively as the “Parties.”

If You do not agree to be bound by the terms and conditions of this Agreement, do not click “I accept” and do not access or use Peer Bridge.

The current version of this Agreement is posted at https://peerbridge.shareandsolve.app/eula. We may update this Agreement from time to time. For material changes, We will ask You to review and accept the updated Agreement before You continue using Peer Bridge, and Your Organization will receive at least 30 days’ notice. Other changes take effect when posted with a new date.

I. Your Right to Access and Use Peer Bridge

A. You agree and acknowledge that You are being provided the right to access and use Peer Bridge because Your Organization has identified You to Us as an authorized user and invited You. Peer Bridge is a tool of convenience to support the administration, supervision, and coordination of peer support programming (including youth peer support programming) operated by Your Organization, including, but not limited to, Participant intake, engagement planning, readiness and pacing assessments (non-clinical), Peer Supporter matching, check-in logging, referral tracking, messaging between supervisors and Peer Supporters, service and funding records, program and funder reporting, certification and continuing education tracking, and sharing resources (the “Purpose”). Pursuant to the Upstream Contract and subject to the terms and conditions of this Agreement, for the Term (defined below), You may, on a non-exclusive, personal, non-transferable, non-sublicensable, revocable, and limited basis, access and use Peer Bridge only for the Purpose.

B. The Company reserves the right to suspend or terminate this Agreement and/or Your ability to access and use Peer Bridge without Us having any liability to You, without notice to You, and for any reason, including, but not limited to, a violation by You of any of the terms of this Agreement, a direction from Your Organization to do so, or a violation by Your Organization of the terms of its Upstream Contract with Us.

C. You agree and acknowledge that We are not involved in any way in any aspect of any medical, mental health, psychological, or other health care diagnosis, care, services, or treatment referenced, documented, or tracked within Peer Bridge, and We are not responsible for any actions or inactions of You, Your Organization, any Peer Supporter, or any Participant served by Your Organization with respect to same. Your rights with respect to Us are exclusively provided by this Agreement.

D. Your ability to access and use Peer Bridge shall not be subject to any uptime or availability commitment or standard from Us. We make no warranty or representation regarding the expected uptime or availability of Peer Bridge, and We shall have no liability with respect to any unavailability of Peer Bridge or Your inability to access and use Peer Bridge for any reason. If the availability of Peer Bridge at any time is unsatisfactory to You, Your only remedy is to contact Us at info@jtdcompany.net, and We will determine whether another means may be established by which You may access and use Peer Bridge.

E. Without restriction or limitation, We reserve the right, in Our sole and absolute discretion, to make changes to Peer Bridge.

F. You represent and warrant that You are at least eighteen (18) years of age. Peer Bridge is intended solely for use by adult staff, supervisors, administrators, and Peer Supporters of Your Organization, including Peer Supporters who are working toward certification. Company does not authorize, and this Agreement does not permit, access to or use of Peer Bridge by any individual under the age of eighteen (18), regardless of any certification, authorization, or engagement such individual may have with Your Organization.

II. Peer Bridge Is an Administrative and Supervisory Tool, Not Medical or Mental Health Advice

A. You acknowledge and agree that Peer Bridge is an administrative and supervisory tool intended to support Your Organization’s operation of peer support programming, and is not intended to be used, and shall not be used, for direct peer support communications between a Peer Supporter and a Participant. Direct Peer Supporter–Participant communications are supported through Company’s separate and complementary “Share+Solve App,” which is governed by its own end user agreements. Peer Bridge may be used for communications between supervisors and the Peer Supporters they oversee. You acknowledge and agree that You are engaged by, affiliated with, or otherwise authorized by Your Organization, and that You are not employed, supervised, or controlled by Us.

B. You acknowledge and agree the Company does not provide medical, mental health, or other professional diagnosis, care, services, treatment, or other advice.

C. Peer Bridge is not a crisis service and is not designed to monitor for or alert anyone to emergent situations. Safety concerns flagged in the Share+Solve App appear on the supervisor dashboard when it is opened; no email, text, or push notification is sent. Your Organization is responsible for its own procedures for monitoring and responding to safety concerns.

III. Your Access and Use of Peer Bridge

A. You agree that You will use Peer Bridge only for the Purpose and only in compliance with this Agreement, Our policies in effect from time to time (including, but not limited to, Our Privacy Policy at https://peerbridge.shareandsolve.app/privacy-policy), and all applicable federal, state, and local laws and regulations.

B. In making Peer Bridge available to You, We use the services of third-party providers (together with their respective suppliers, “3P Providers”), including Vercel (hosting), Supabase (database and sign-in), and Sentry (error monitoring). These 3P Providers host Peer Bridge and related Information (defined below) and provide other related services (individually and collectively, “3P Services”). You agree and acknowledge that 3P Providers are not employees or subcontractors to Company, and We shall have no responsibility or liability of any kind with regard to the provision of 3P Services or for any actions or inactions of any 3P Provider. Applicable terms and conditions of 3P Providers may change from time to time, and We have no obligation to notify You of any such changes.

C. User Accounts.

1. Account Creation and Security. You will set up Your account only through an invitation from Your Organization. In creating an account, You shall: (a) provide true, accurate, current, and complete information, including an email address at which We (or Our 3P Providers) may send You notices and other communications; and (b) maintain and promptly update such information so that it remains true, accurate, current, and complete. We may ask You from time to time to confirm Your account by email, and if You fail to confirm Your account as requested, We shall have the right to suspend or delete Your account. You consent to receive communications, including, but not limited to, notices, agreements, and disclosures, electronically from Us at the email address You provide. You agree that these electronic communications satisfy any legal requirement that such communications be in writing.

2. Passwords. You will create a password to access Your account. You will be solely responsible for all access to and use of Peer Bridge by anyone using Your password and account, whether or not such access and use is actually authorized by You, including, without limitation, all obligations incurred through such access or use. You agree that You will not share Your account information with anyone, and You agree to notify Us and Your Organization immediately of any unauthorized use of Your account or any other breach of security of which You become aware.

3. You may not use an account for any purpose that is unlawful or prohibited by this Agreement, or in any manner that could damage, disable, overburden, or impair Peer Bridge or interfere with any other party’s use and enjoyment of it.

D. In accessing and/or using Peer Bridge, You agree that You are subject to the following “Restrictions on Use,” and that You will not:

1. Sell, license, sub-license, distribute, rent, lease, digitally transmit, transfer, or assign the ability to access and use all or any part of Peer Bridge.

2. Copy, reproduce, or publicly display all or any part of Peer Bridge.

3. Reverse engineer, decompile, or disassemble Peer Bridge, or otherwise attempt to obtain any of the source code, object code, executable code, or media files related to Peer Bridge.

4. Remove or obscure any product identification, proprietary, copyright, or other notices contained in or on Peer Bridge (including any reports or data which may be accessed, downloaded, or printed from Peer Bridge).

5. Modify, translate, or create derivative works based upon any or all of Peer Bridge.

6. Incorporate Peer Bridge into any other product or service, or create Internet “links” to or from Peer Bridge, or “frame” or “mirror” any part of Peer Bridge.

7. Interfere with or disrupt the integrity or performance of the 3P Services or the ability of You or others to access and use Peer Bridge, the data contained therein, or any equipment used by You or others to connect to Peer Bridge.

8. Attempt to gain unauthorized access to the 3P Services and/or Peer Bridge, or access any part of Peer Bridge through automated or non-human means.

9. Enter, upload, or maintain within Peer Bridge any information relating to a Participant that You are not authorized by Your Organization to access, or that Your Organization does not have a lawful basis to collect and maintain.

10. Upload any certificate or other document that You know to be false or altered.

This is a non-exhaustive list of things You may not do in connection with Peer Bridge. If this Agreement does not expressly provide that You may do something involving Peer Bridge, We do not authorize You to do it. We may decide that any conduct You engage in violates this Agreement, including these Restrictions on Use, and should We do so, We reserve the right, without Us having any liability to You, to immediately revoke or suspend Your ability to access and use Peer Bridge.

E. In accessing and using Peer Bridge, You or Your Organization are responsible for all equipment necessary to connect to the internet and to access and use Peer Bridge, and for virus and other malware protection sufficient to protect such equipment.

IV. Client Records, Reports, and Certification Records

A. Client Records. You acknowledge that, in using Peer Bridge, You may enter, view, or manage information about Participants served by Your Organization, including minors, such as intake information, support areas, other services the Participant receives, goals, readiness and pacing assessments, Peer Supporter matching information, check-in logs and notes, raised safety concerns for supervisor follow-up, referral records, and service records used for funder reporting (collectively, “Client Records”). You represent and warrant that: (1) You have all necessary authorization from Your Organization to enter and manage such Client Records within Peer Bridge; (2) to Your knowledge, Your Organization has all necessary consent, legal basis, and/or authority under applicable law to collect, enter, and manage such Client Records within Peer Bridge; and (3) to Your knowledge, Your Organization has complied with all applicable confidentiality requirements.

B. Company does not independently verify the accuracy, completeness, or legal basis for any Client Records entered by You or on behalf of Your Organization, and Company shall have no responsibility or liability with respect thereto.

C. Reports. Peer Bridge lets supervisors create program reports and reports for funders, and save, print, or download them. Funder reports contain counts and hours, and can combine rows that cover only a few Participants. The ability to combine data is a tool to help reduce the risk that a small group can be identified; it is not a guarantee. Your Organization decides whether, how, and with whom to share any report, and is responsible for obtaining any consent or authorization required to do so.

D. Certification Records. If You are a Peer Supporter, You may record Your certification progress and continuing education hours in Peer Bridge and upload certificates. You represent that the records and documents You upload are true and accurate. These records can be seen by You and the active supervisors in Your Organization. Company does not verify any certification, credential, or continuing education record, and does not determine whether You meet any certification or renewal requirement. Requirement summaries shown in Peer Bridge are provided for convenience only; the certifying body’s official rules control.

V. Your Information and Privacy

A. All data You submit or that relates to You, including, but not limited to, all Client Records, all reports, all certification records, all data collected by automated means relating to Your use of Peer Bridge, and all data and communications entered into or transmitted to or through Peer Bridge (individually and collectively, “Information”), will be transmitted over the internet and hosted and stored on servers maintained by one or more 3P Providers. You agree, acknowledge, and authorize that Information be available to Your Organization, as described in Our Privacy Policy. Messages between Peer Supporters and Participants in the Share+Solve App are not available in Peer Bridge.

B. You accept and have sole responsibility for the accuracy, quality, integrity, reliability, and appropriateness of all Information. You represent to Us that all Information You submit or that is submitted on Your behalf is: (1) accurate and complete; (2) submitted with all necessary authorization; and (3) submitted without violation of any third party’s rights.

C. With respect to all Information, You and We agree to be bound by the terms of Our Privacy Policy. Your Organization owns and controls Information that is part of its program. You grant Us and Our 3P Providers a limited right to host, store, process, and use Information only as needed to provide, secure, support, and operate Peer Bridge, to address potential safety issues, to prevent misuse, and to comply with the law. We keep Information, and handle it when an account is deleted or removed, as described in Our Privacy Policy.

D. We may create de-identified, combined data from Information across organizations only if Your Organization has agreed to participate. Such information will never include message content, and We will share only combined findings, never information about a single person.

VI. Proprietary Rights

A. This Agreement is not for the sale or licensing of Peer Bridge or any of its underlying software, media, or content. You are not being granted any right, title, or interest in Peer Bridge, or, other than as expressly set forth herein, a right to possess an executable version of the software used to make Peer Bridge accessible to You and others, or to any information or materials included within Peer Bridge.

B. You acknowledge and agree that the Company owns all right, title, and interest in and to Peer Bridge including, but not limited to, its software and code, database structure, APIs, algorithms, processes, workflows, design, media, and content (other than Information), all modifications, improvements, and derivative works, and all intellectual property rights in them anywhere in the world. Any rights not expressly granted to You herein are reserved by Company.

C. You agree that the Company may use Your feedback, comments, suggestions, or ideas relating to Peer Bridge (“Feedback”) in any way including, but not limited to, in future modifications of Peer Bridge, other products or services, advertising, or marketing materials. You grant the Company a perpetual, worldwide, fully transferable, sub-licensable, non-revocable, fully paid-up, royalty-free, and unlimited license to use all Feedback that You provide or disclose to the Company.

VII. Our Website

Peer Bridge may link to Our website at https://www.shareandsolve.app (the “Website”), including free resources available there. Our Privacy Policy applies to Your use of the Website.

VIII. Third-Party Materials

Through Peer Bridge, Your Organization and/or You may cause Peer Bridge to display, include, or make available third-party content (including, but not limited to, data, applications, and other products, services, and/or materials) or links to third-party websites or services (“Third-Party Materials”). You acknowledge and agree that Company is not responsible for Third-Party Materials, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof. Company does not assume and shall not have any liability or responsibility to You or any other person or entity for any Third-Party Materials. Third-Party Materials and links thereto are provided solely as a convenience to You, and You access and use them entirely at Your own risk and subject to such third parties’ terms and conditions.

IX. Term and Termination

A. The “Term” of this Agreement begins when You first access Peer Bridge and continues on a month-to-month basis until terminated by You, Your Organization, or Company in accordance with this Agreement.

B. You may terminate this Agreement by ceasing all access to and use of Peer Bridge. To have Your account closed, contact Your Organization: a supervisor approves the removal of a Peer Supporter’s account, and We deactivate supervisor and staff accounts at Your Organization’s request.

C. In addition to its rights to terminate this Agreement and/or suspend Your ability to access and use Peer Bridge as provided elsewhere in this Agreement, Company may also terminate this Agreement if it ceases to operate and/or support Peer Bridge, which Company may do at any time in its sole discretion.

E. Upon termination: (i) all rights granted to You under this Agreement will terminate; and (ii) You must cease all use of and access to Peer Bridge. Client Records and other program information remain with Your Organization.

F. Termination will not limit any of Company’s rights or remedies at law or in equity.
